Skadden seeks a mid-level Corporate Attorney to handle complex M&A transactions and corporate governance matters for Fortune 500 clients in our globally recognized practice group.
Responsibilities
- Draft SPAC merger agreements
- Lead due diligence review teams
- Negotiate shareholder rights plans
- Advise on SEC disclosure requirements
- Structure cross-border joint ventures
- Manage closing mechanics for $1B+ deals
Requirements
- JD from top 14 law school
- 4-7 years biglaw M&A experience
- Admitted to NY State Bar
- Expertise in Delaware corporate law
- Fluency in Spanish or Mandarin (preferred)
- SEC filing experience
